Terms of Service

The working agreement for using SpecLeaf, purchasing a Shopify-billed plan and publishing the catalog files you create.

Agreement and eligibility

These Terms of Service (“Terms”) are a binding agreement between the person or business using SpecLeaf (“Merchant,” “you” or “your”) and SpecLeaf, operated by the developer identified in the Shopify App Store listing (“SpecLeaf,” “we,” “us” or “our”). They govern installation of and access to the SpecLeaf Shopify application, related support channels and generated materials (collectively, the “Service”).

By installing, purchasing a plan for or using the Service, you accept these Terms and the Privacy Policy. You represent that you are legally able to enter this agreement, are using the Service for business purposes, and have authority to bind the Shopify merchant or organization you represent. If you do not agree, do not install or use SpecLeaf.

The Service

SpecLeaf is a read-only catalog production tool. At your direction, it retrieves authorized Shopify product information, combines it with your brand kit and layout choices, and prepares previews, PDF product sheets, catalogs and ZIP exports. It can save reusable brand profiles and document setups and maintain a limited export history.

SpecLeaf does not edit products, themes, orders, inventory or customer records in Shopify. It is not an inventory system, commerce platform, legal or compliance service, digital-asset archive, or substitute for reviewing final product information. Features, supported fields, formats and limits may change as the Service evolves.

Shopify relationship

SpecLeaf is an independent application made available for use with Shopify. Shopify does not control SpecLeaf and is not responsible for the Service, generated files or our support. Your Shopify account and store remain subject to the agreements and policies you have with Shopify.

The Service depends on Shopify authentication, APIs, billing and platform availability. Shopify may change, suspend or discontinue those systems. We may need to modify or suspend affected features and are not liable for Shopify outages, account restrictions, data changes or platform decisions outside our reasonable control.

Installation, accounts and access

You authorize SpecLeaf to access your store only through the Shopify permissions shown during installation. The current Service requests the read_products scope. You are responsible for maintaining a valid Shopify account, controlling staff access, protecting credentials and reviewing the permissions granted to apps.

Do not share access tokens, passwords or security secrets with us. Notify [email protected]promptly if you suspect unauthorized use of SpecLeaf or a compromised Shopify account. We may suspend access when reasonably necessary to protect the Service, a merchant or Shopify.

Merchant responsibilities

You are responsible for:

  • the accuracy, legality and completeness of product descriptions, prices, claims, images, metafields, logos, contact details and other content supplied through Shopify or uploaded to SpecLeaf;
  • having all permissions, intellectual-property rights, notices, consents and legal bases needed for us to process that content on your instructions;
  • reviewing every preview and generated file before publication or distribution, including prices, currencies, measurements, warnings, disclosures, pagination, image quality and regulatory claims;
  • keeping source information current in Shopify, downloading files before expiry and maintaining your own copies of business-critical materials;
  • using generated materials lawfully and providing your own customer-facing terms, privacy notices and product disclosures; and
  • complying with applicable laws, industry rules, Shopify's terms and any limits or instructions shown in the Service.

You may not represent that SpecLeaf or Shopify has independently verified or endorsed your catalog claims or generated materials.

Plans and Shopify billing

Shopify manages approval and billing for paid SpecLeaf plans. Available prices, billing intervals, included export quotas and any trial are displayed in SpecLeaf and on Shopify's approval screen before you accept a charge. Shopify hosts the approval process, applies the charge to your Shopify invoice and provides subscription status to SpecLeaf. We do not collect your payment card or bank details.

Unless the approval screen says otherwise, a recurring plan renews at the selected interval until it is changed or cancelled. Taxes, currency conversion and Shopify billing treatment may depend on your location and Shopify account. Upgrades, downgrades, cancellations, prorations and replacement charges take effect as described by Shopify at confirmation.

Except where the approval screen, Shopify's applicable billing rules or law provides otherwise, fees already incurred are non-refundable. Contact [email protected] promptly with a billing question. Nothing in these Terms limits a non-waivable statutory right.

Quotas and fair use

Plans may limit products per document, successful exports per UTC calendar month, file formats, brand kits, saved setups or other resources. Monthly export quotas reset at 00:00 UTC on the first day of each calendar month for both monthly and annual subscriptions; this quota window may differ from your Shopify billing period. Current limits are shown in the app or plan screen. A paid export counts against quota only after a secure download completes successfully; previews and failed or expired undownloaded attempts are handled as shown in the Service.

Limits do not roll over unless expressly stated. We may apply reasonable technical rate limits and safeguards to prevent abuse or protect other merchants. Attempting to evade plan limits or quota accounting is a material breach of these Terms.

Generated files and retention

Generated PDFs and ZIP files are temporary. Download access for a generated file expires after 60 minutes in this deployment, after which the file becomes unavailable and its underlying storage object is eligible for scheduled deletion. We do not promise that a file can be restored or regenerated in an identical form.

You must inspect and download files within the displayed period and maintain any copy you need. Product information or assets may change between generations, and third-party fonts, images, links or rendering behavior may affect output. The Privacy Policy explains how request details, job summaries and files are retained and deleted.

Content and intellectual property

As between you and SpecLeaf, you retain ownership of the catalog data, logos, images, text and other materials you provide (“Merchant Content”). You grant SpecLeaf a limited, non-exclusive, worldwide license to host, copy, transform and process Merchant Content only to provide, secure and support the Service and comply with law.

Subject to payment of applicable fees and these Terms, you may use and distribute the generated files for your business. That right does not grant ownership of third-party materials or cure any restriction already attached to Merchant Content. You remain responsible for securing rights to every element in an output.

SpecLeaf and its licensors retain all rights in the Service, software, workflows, interfaces, documentation, design systems, template logic and trademarks, excluding Merchant Content. If you send feedback, you permit us to use it without restriction or payment, provided we do not identify confidential Merchant Content in doing so.

Acceptable use

You may not use or attempt to use the Service to:

  • violate law, infringe rights, deceive recipients, distribute malware or create unlawful, abusive or dangerous materials;
  • access a store, account, product or file without authorization;
  • probe, bypass or defeat authentication, quotas, file expiry, webhook verification, access controls or security protections;
  • reverse engineer, scrape or copy protected portions of the Service except to the limited extent such a restriction is prohibited by law;
  • interfere with operation, impose unreasonable load, automate abusive requests, or resell or provide the Service as your own hosted product without written permission; or
  • upload secrets, payment-card data, sensitive personal information or content not reasonably needed for catalog generation.

Availability and changes

We aim to provide a reliable Service but do not guarantee uninterrupted, error-free or permanently available operation. We may perform maintenance, correct errors, change supported Shopify fields, templates or limits, or discontinue a feature. When reasonably practical, we will provide advance notice of a material change that reduces paid functionality.

Preview, beta or experimental features may be changed or withdrawn at any time and may not receive the same support. We may preserve or suspend a feature when needed for security, legal compliance, Shopify compatibility or operational integrity.

Privacy and confidentiality

Our Privacy Policy describes how SpecLeaf handles information, including Shopify mandatory privacy webhooks, generated-file expiry and uninstall deletion. Each party will use reasonable care to protect the other's non-public confidential information and will use it only to perform or receive the Service, except where disclosure is authorized or legally required.

Confidential information does not include information that is public without breach, was lawfully known without restriction, is independently developed, or is lawfully received from another source. If legally permitted, a compelled recipient will give reasonable notice before disclosure.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, PREVIEWS AND GENERATED FILES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SPECLEAF DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT.

We do not warrant that product data, prices, layouts, translations, pagination, links, regulatory text or other output is complete, current or suitable for your intended market. You are responsible for human review and for professional advice needed for product safety, advertising, tax, accessibility, privacy or other legal requirements. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECLEAF AND ITS OPERATORS, AFFILIATES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL OR DATA, EVEN IF ADVISED THAT SUCH LOSS MAY OCCUR.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID FOR SPECLEAF DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. If you used only a free feature, the cap is USD 100. These limits apply across all theories of liability and do not limit liability that cannot lawfully be limited.

Indemnity

To the extent permitted by law, you will defend, indemnify and hold harmless SpecLeaf and its operator, affiliates, contractors and licensors from third-party claims, damages, judgments, costs and reasonable legal fees arising from Merchant Content, your generated materials, your breach of these Terms, your violation of law or another person's rights, or unauthorized use of your Shopify account. We will give reasonable notice and allow you to control the defense, provided you may not settle in a way that admits our fault or imposes an obligation on us without written consent.

Suspension, cancellation and termination

You may stop using SpecLeaf and uninstall it through Shopify at any time. You may change or cancel a paid plan through the available Shopify or SpecLeaf billing flow, with timing and charges shown by Shopify. Uninstalling the app does not automatically reverse a charge already incurred.

We may suspend or terminate access for material breach, unpaid charges, fraud, abuse, security risk, legal requirement, loss of Shopify platform access or discontinuation of the Service. When practical, we will provide notice and an opportunity to cure a remediable breach.

Cancellation or expiration ends access to new paid generations once Shopify reports the change. If the app remains installed and authenticated, an already-generated file that is still within its displayed temporary retention period may remain downloadable until that file expires; this limited download access does not extend a subscription or permit a new generation. Uninstallation starts the deletion process described in the Privacy Policy, so files are no longer available through the app, and Shopify's mandatory shop/redact workflow completes remaining shop redaction. Provisions that by their nature should survive—including payment obligations, intellectual-property protections, disclaimers, liability limits, indemnity and general terms—will survive.

Disputes and applicable law

Before filing a claim, please email [email protected] with a concise description and requested resolution. The parties will attempt in good faith to resolve the dispute informally for 30 days, unless urgent injunctive relief is reasonably necessary.

These Terms are governed by the laws applicable to the SpecLeaf operator identified in the Shopify App Store listing, without regard to conflict-of-law rules. A claim may be brought in a court with lawful jurisdiction over that operator and the dispute. This paragraph does not deprive either party of protections or forums that cannot be waived under applicable law.

General terms and changes

These Terms, the Privacy Policy, the plan approval screen and any terms expressly incorporated into them are the entire agreement about the Service and replace prior discussions on that subject. If they conflict, the plan approval screen controls only price, interval and trial details; these Terms control other use of the Service.

You may not assign these Terms without our written consent, except in connection with a sale of substantially all of your business where the successor accepts them. We may assign them as part of a merger, reorganization or sale of the Service. A failure to enforce a term is not a waiver. If any provision is unenforceable, it will be adjusted to the minimum extent necessary and the remainder will continue. Headings are for convenience and “including” is not limiting.

We may update these Terms for changes to law, Shopify requirements, security, billing or the Service. We will post a revised effective date and give additional notice when a material change requires it. Continuing to use the Service after the effective date means you accept the revised Terms; if you do not agree, stop using and uninstall SpecLeaf before they take effect.
